Terms of Service

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at support@synti.co if you suspect unauthorized access to your account.

3. Service Description

Synti is an all-in-one AI platform that provides access to AI models (including LLM, image, video, audio, and music generation), tools and integrations, AI agents, scheduled tasks, and a knowledge base with retrieval-augmented generation (RAG). The Service also includes collaboration features such as organizations, teams, workspaces, folders, and access controls.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes.

4. Subscription Plans and Pricing

4.1 Plans

The Service is available under the following subscription plans:

• Free ($0/month): Limited usage, no credit card required, no additional members.
• Hobby ($20/month or $200/year): Everything in Free, plus extended usage, unlimited additional members. Credit card required.
• Pro ($60/month or $600/year): Everything in Hobby, plus 3x usage, creating custom agents, and unlimited additional members.
• Ultra ($200/month or $2,000/year): Everything in Pro, plus 20x usage, creating custom agents, unlimited additional members, and priority access to new features.

Plan features, pricing, and usage limits are described on our pricing page at synti.co/pricing and may be updated from time to time.

4.2 Top-Ups

Additional usage beyond your plan's included limits may be purchased as one-time top-ups. Top-ups are non-refundable once the purchased usage has been consumed.

4.3 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle. You authorize us to charge your payment method on file for all applicable fees. All prices are in US dollars unless otherwise stated.

4.4 Price Changes

We may change our prices at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days' notice.

5. Refund Policy

5.1 30-Day Money-Back Guarantee

If you are not satisfied with the Service, you may request a full refund within 30 days of your initial subscription purchase or within 30 days of an upgrade to a higher-tier plan. To request a refund, contact us at support@synti.co with your account details and reason for the request.

5.2 Refund Eligibility

Refunds are available under the following conditions:

• The refund request is made within 30 days of the original purchase or plan upgrade.
• For annual subscriptions, the refund applies to the full annual payment if requested within 30 days of purchase.
• Refunds for plan upgrades are calculated as the difference between the new plan and the previous plan, prorated for the unused portion.

5.3 Non-Refundable Items

The following are not eligible for refunds:

• Top-up purchases where usage has already been consumed.
• Subscription renewals (monthly or annual) beyond the initial 30-day period. You may cancel your subscription at any time to prevent future charges, but no refund will be issued for the current billing period.
• Accounts terminated for violation of these Terms.

5.4 Refund Processing

Approved refunds will be processed within 10 business days and returned to the original payment method. Processing times may vary depending on your payment provider.

6. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@synti.co. Upon cancellation:

• Your subscription remains active until the end of the current billing period.
• After the billing period ends, your account will revert to the Free plan.
• Your data will be retained for 30 days after downgrade, during which you may export your content. After 30 days, data associated with paid features may be deleted.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Generate, store, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use AI models to generate content that impersonates real individuals without their consent.
• Circumvent usage limits, access controls, or security measures.
• Use the Service for competitive benchmarking or to build a competing product.
• Transmit viruses, malware, or other harmful code.
• Engage in automated scraping, data mining, or bulk data extraction from the Service.

7.1 AI-Specific Prohibited Uses

In addition to the general restrictions above, you specifically agree not to use the AI generation capabilities of the Service to:

• Generate child sexual abuse material (CSAM) or any sexual content involving minors in any form.
• Create deepfakes or synthetic media that falsely depicts a real person without their explicit consent, including for the purposes of defamation, harassment, fraud, or non-consensual intimate imagery.
• Generate content that promotes, glorifies, or incites violence, terrorism, or hatred against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics.
• Produce disinformation, propaganda, or synthetic media intended to deceive, manipulate, or interfere with democratic processes or public health.
• Create malware, phishing content, exploit code, or any materials intended to facilitate cybercrime.
• Generate content that violates the intellectual property rights, privacy rights, or other legal rights of any third party.
• Produce spam or unsolicited bulk communications at scale using AI generation tools.

7.2 Content Moderation

We employ automated and manual content safety measures to detect and prevent prohibited outputs, including NSFW filters, hate speech detection, and harmful content classifiers. Despite these measures, AI systems are imperfect. If you encounter harmful AI-generated content on the platform, please report it immediately to support@synti.co.

We reserve the right to suspend or terminate accounts that violate this section, with or without notice. For a full description of our AI content moderation approach, see our AI Content Policy.

8. Content and Intellectual Property

8.1 Your Content

You retain ownership of all content you create, upload, or input into the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Content as necessary to provide the Service.

8.2 AI-Generated Outputs

Outputs generated by AI models through the Service ("Outputs") are provided to you for your use, subject to the terms of the underlying AI model providers. You are responsible for reviewing and verifying all Outputs before use. We make no guarantees regarding the accuracy, completeness, originality, or legal compliance of Outputs.

8.3 Our Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Synti and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

8.4 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without obligation to you.

9. Organizations and Teams

9.1 Organization Accounts

If you create an organization on Synti, you are the organization owner and are responsible for managing members, access controls, and compliance with these Terms within your organization.

9.2 Member Conduct

Organization owners and administrators are responsible for ensuring that all members comply with these Terms and the organization's usage policies.

9.3 Data Ownership in Organizations

Content created within an organization's workspaces may be subject to the organization's policies. Organization administrators may have access to content and usage data within the organization's workspaces.

10. Third-Party Services

The Service integrates with third-party AI model providers, tools, and services. Your use of third-party services through Synti is subject to the respective third party's terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, available at synti.co/privacy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• AI-generated outputs will be accurate, complete, or suitable for any particular purpose.
• Defects will be corrected in a timely manner.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Synti, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

15.2 Informal Resolution

Before filing any formal dispute, you agree to contact us at support@synti.co and attempt to resolve the dispute informally for at least 30 days.

15.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English.

15.4 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in a class action, collective action, or representative proceeding.

16. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your data after a reasonable retention period (30 days), unless retention is required by law.
• Sections that by their nature should survive termination will remain in effect, including Sections 8, 12, 13, 14, and 15.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Synti regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
• Notices: We may send you notices via email or through the Service. Notices to us should be sent to legal@synti.co.

18. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For material changes, we will provide at least 30 days' notice before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
